Plants for Design Ltd. general Terms & Conditions.

Orders

All orders accepted are subject to availability. Orders will be provided on a best endeavours basis. Issues including Covid, plant shortages, seasonality, Act of God and transport are all beyond our control and therefore not liable - however caused.

All customers must provide a contact name and at least one mobile phone number that can be contacted, on the date of delivery, or available to arrange a delivery date, at the time of order. A full delivery address and a billing address is also required.

All orders must be in writing – email is acceptable from verified sources. Any orders taken over the phone must be followed up in writing within 3 days. Failure to provide written/email confirmation within 3 days will result in an order not being fulfilled/being cancelled with any associated costs being passed on to the customer in full.

Plant substitutions will only be made after reference, and with the prior written agreement of the customer.

Placing an order implies acceptance of our Terms and Conditions.

Quotes

Quotations are provided and remain valid for orders confirmed within 7 days providing the stock quoted is still available.

Prices

All prices are for the quantities stated, and exclusive of VAT, which will be applied at the current rate at the date of invoice. Plants for Design’s Ltd VAT number is 369321776

Pot sizes and plant heights are approximate. Prices are on application for large, bespoke or specialist orders. The price agreed for any order supersedes any previously quoted price. A quote is not a guide to any future pricing. The right is reserved by Plants for Design Ltd to vary prices.

Delivery & Packaging

Subject to the physical (not financial) size of the order, we can arrange delivery via our own van, or by a 3rd party, at a cost.

Any delivery slot is offered on a best endeavours basis and we will try and honour the time as best as we are able. The same applies to any third party delivery. However, we will not be held liable for damage or loss caused by late delivery.

It is the customer’s responsibility to provide sufficient and qualified staff, plus equipment, to unload any purchase in an area that is Health and Safety compliant. Any product must then be stored in an appropriate location to ensure the wellbeing of the items purchased. Plants for Design Ltd accept no responsibility for inappropriate or inadequate storage.

If sufficient staff are not provided by the customer, Plants for Design Ltd will charge £50 per hour, plus VAT, per employee, to remain onsite whilst products are unloaded. Storage and risk will remain the sole liability of the customer.

Presentation is paramount. Our staff take great care in selecting the best plants for you and make sure they are clean and pest free. The more notice given when placing an order the more time we have to ensure plants are delivered in the best condition.

Plants for Design Ltd understands that circumstances change and delivery timings may need to be adjusted. Providing we receive at least 3 days notice prior to delivery, no charge will be levied. Anything less than 3 days will involve a 15% (of the order value) levy with changes to timings made on a best endeavours basis. Requests for delivery adjustments cannot be guaranteed.

Payment

All new customers, by recommendation, or otherwise, will operate on a strict pro forma basis for a minimum of three orders. Migration to Standard Terms will be considered after 3 pro forma orders and will be dependent on the amount and frequency of those items purchased during the pro forma period. Once approved, and for orders up to £500, Standard Terms may be adopted with settlement being within 15 days of the date of invoice. Outstanding invoices to be settled, solely, by BACS. No cash, cheques or credit cards. Payment for orders in excess of £500, bespoke or specialist orders to be agreed by arrangement and at Plants for Design Ltd sole discretion. Subject to the time span, the amount of the order and its composition - a deposit (with an agreed full settlement date), payment in full, at the time of order or, payment, in full, at the time of collection -may be potential options.

We do not offer credit terms beyond 15 days or above £500.

Standard Term customers shall settle any outstanding amount within 15 days of the date of the Company’s invoice. All payments must be cleared funds and are due without deduction, or set-off, and may not be settled in instalments. If the customer fails to make payment, in full, by the due date, Plants for Design Ltd shall be entitled to cancel the Standard Terms facility, revert any future purchases to Pro Forma and charge the customer interest in accordance with The Late Payment of Commercial Debts Regulations 2013. Interest will be charged on overdue accounts at a rate of 8% per month above the current Bank of England base rate calculated on the outstanding balance and will be added to the account.

Plants for Design Ltd reserve the rights to recover, in full, from the customer, any monies, which will become due as a result of non-delivery because of non-payment. Plants for Design Ltd reserve the rights to pursue late Standard Term Account payers and non delivery costs through the court system, at the customer’s cost.

Complaints

All plants, shrubs, trees, hedges (including root ball and bare root) that are sold by Plants for Design, leave healthy and in good condition. Should a complaint arise following delivery it must be notified within 1 working day of receiving the goods and confirmed in writing within 3 working days. Any complaint must include the receipt/order, photos of the plant, photos of its location, how it has been kept and cared for, together with the reported issue. Without this information we will not be able to investigate any complaint.

If there is a concern by the customer, at the time of ordering, about caring and maintaining a plant to be ordered, we will be happy to provide bespoke instructions. Whilst we make every effort to ensure the quality and correct description of our stock, our liability is restricted to the supply and delivery of healthy plants.

Beyond delivery, Plants for Design Ltd is not responsible for a plant’s care or maintenance and therefore a plant’s ultimate survival. This is the sole responsibility of the customer.

Title & Risk

The risk in the plants will pass to the customer on collection/delivery, but the Title remains with Plants for Design Ltd until payment (cleared funds) has been received in full, plus any associated costs. Plants for Design Ltd reserves the right to withhold deliveries until all outstanding payments under any Contract with Plants for Design Ltd, by the customer, have been received and reserve a lien upon - and the right to sell or otherwise dispose of - all goods, whether appropriated or not in respect of any such payments.

General

Orders not collected within 5 days of an agreed date for collection may be resold unless special arrangements are made. We reserve the right to impose a charge for cancellation of an order. All stock bought in specifically at the customer’s request must be paid for even if the order is cancelled.

Consultancy

There may be occasions when Plants for Design Ltd is asked to act in a consultancy capacity. Each contract will be customer specific, with a range of bespoke services on offer including the buying of plant stock and bulbs, merchandising advice and assistance, product knowledge and team talks. Further services are available on request. Consultancy services may be engaged in isolation or alongside other Plants for Design Ltd offerings. Contract

This contract and the terms contained within are subject to the Laws of England and Wales.

Bare Root & Root Ball Trees and Bare Root & Root Ball Hedging

In addition to Plants for Design’s Ltd standard Terms and Conditions, the following specifics apply -

Bare Root and Root Ball Trees

Due to the nature of Bare Root and Root Ball Trees, we do not carry any bare root or root ball trees in stock. We order them in fresh for you, so they are of the best quality. Please be aware, due to the nature of bare root and root ball trees they will require more care and attention than container grown stock. Therefore we cannot take any responsibility for unsuccessful plants.

We recommend delivery or collection of your order as soon as the plants are available. We suggest delivery/collection is within a maximum of 48 hours.

Bare Root and Root Ball Hedging

Due to the nature of Bare Root and Root Ball Hedging, we do not carry any bare root whips or root ball hedging in stock. We order them in fresh for you, so they are of the best quality. Please be aware, due to the nature of bare root whips and root ball hedging they will require more care and attention than container grown stock. Therefore we cannot take any responsibility for unsuccessful plants.

We recommend delivery or collection of your order as soon as the plants are available. We suggest delivery/collection is within a maximum of 48 hours.
